These Terms apply to the Scribeo electronic signing platform operated by Scribeo Pty Ltd (we, us, our).
By accessing or using Scribeo (the Service), you agree to these Terms of Service (Terms). If you do not agree, you must not use the Service.
We may update these Terms from time to time by posting an updated version on our website and updating the “Last updated” date. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
Scribeo provides an electronic document signing platform that enables users to upload PDF documents, designate signers, and collect electronic signatures and related records (including audit information) through the Service.
The Service is offered on a subscription basis under tiered plans described on our pricing page.
The Service is intended for business and professional use.
If you use the Service on behalf of a company or other organisation, you represent and warrant that you have authority to bind that organisation to these Terms, and references to “you” include that organisation.
You must be at least 18 years old and able to enter into a legally binding contract to use the Service.
You must create an account to use the Service. You are responsible for:
maintaining the confidentiality of your account credentials
all activity that occurs under your account
ensuring information you provide is accurate and kept up to date
You must notify us promptly if you suspect unauthorised access to your account.
Paid access requires a subscription. Subscription fees are billed in advance on a monthly basis (unless otherwise stated). Payments are processed via Stripe (or other payment providers we may nominate).
By subscribing, you authorise us to charge your nominated payment method on a recurring basis until you cancel.
Cancellation: You may cancel at any time via your account settings. Unless required by law, we do not provide refunds for partial billing periods. Access continues until the end of the current billing period.
Price changes: We may change subscription fees by giving you reasonable prior notice. If you do not agree, you may cancel before the new price takes effect.
If offered, users without an active subscription may upload up to one (1) document. We may modify, suspend, or remove the free tier at any time by providing reasonable notice where practicable.
You must not use the Service:
for any unlawful purpose or in breach of any applicable law
to upload, store, transmit, or distribute content that is fraudulent, misleading, defamatory, harassing, obscene, or otherwise objectionable
to forge signatures, impersonate others, or misrepresent authority to sign
to interfere with or disrupt the Service, including introducing malware or attempting unauthorised access
to reverse engineer, copy, or resell the Service except as permitted by law or with our written consent
We may suspend or terminate accounts that breach these Terms.
Scribeo is designed to support electronic signing and record-keeping. In Australia, electronic transactions may be recognised under the Electronic Transactions Act 1999 (Cth) and relevant State/Territory legislation, subject to conditions and exceptions.
You acknowledge and agree that:
you are responsible for determining whether electronic signing is appropriate and legally effective for your particular document, transaction, and circumstances
some documents/transactions may require additional steps (for example, witnessing requirements, identity verification, or specific formalities) or may be excluded from electronic execution under applicable laws
we do not provide legal advice and do not guarantee that any particular signature or document will be legally enforceable in every circumstance
You retain ownership of all documents and content you upload to the Service (Customer Content).
You grant us a limited, non-exclusive licence to host, store, process, transmit, and display Customer Content only as necessary to provide, maintain, secure, and improve the Service, and to comply with legal obligations.
You represent and warrant that:
you have all rights and permissions necessary to upload and use Customer Content
your use of the Service (including sending documents to signers) does not infringe any third-party rights or breach any law
We use reasonable technical and organisational measures intended to protect the Service and Customer Content (including encryption measures where applicable). However, you acknowledge that no system is completely secure.
The Service is provided on an “as is” and “as available” basis. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
The Service, including its software, design, and functionality, is owned by us and our licensors and is protected by intellectual property laws.
Except as expressly permitted under these Terms, you must not copy, modify, distribute, sell, or lease any part of the Service.
We may suspend or terminate your access to the Service immediately if we reasonably believe:
you have breached these Terms
your use poses a security risk to the Service or other users
we are required to do so by law
You may stop using the Service at any time and may cancel your subscription as described in clause 5.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law or other applicable law that cannot be excluded.
Where permitted by law, our liability for breach of a non-excludable guarantee is limited (at our option) to:
supplying the services again; or
paying the cost of having the services supplied again.
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive loss, or any loss of profits, revenue, goodwill, data, or business opportunity arising out of or in connection with the Service.
To the maximum extent permitted by law, our total aggregate liability to you for all claims arising out of or in connection with the Service or these Terms is limited to the fees you paid to us in the three (3) months immediately before the event giving rise to the claim.
These Terms are governed by the laws of Queensland, Australia and the Commonwealth of Australia.
You submit to the non-exclusive jurisdiction of the courts of Queensland and the Commonwealth of Australia.
