1. Acceptance of Terms

By accessing or using Scribeo ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. We reserve the right to update these terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Scribeo provides a digital document signing platform that allows users to upload PDF documents, designate signers, and collect legally binding electronic signatures. The Service is provided on a subscription basis with tiered plans as described on our pricing page.

3. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account and to update it as necessary to keep it accurate.

4. Subscription & Payment

Access to the Service requires a paid subscription. Subscription fees are billed in advance on a monthly basis. All payments are processed securely via Stripe. You authorise us to charge your payment method on a recurring basis until you cancel. Refunds are not provided for partial months. You may cancel your subscription at any time through your account settings, and access will continue until the end of the current billing period.

5. Free Tier

Users without an active subscription are permitted to upload one (1) document. To upload additional documents, a paid subscription is required. We reserve the right to modify or remove the free tier at any time with reasonable notice.

6. Acceptable Use

You agree not to use the Service to upload or distribute any content that is unlawful, fraudulent, harassing, defamatory, or otherwise objectionable. You may not use the Service to forge signatures, impersonate others, or engage in any activity that violates applicable law. We reserve the right to suspend or terminate accounts that violate these terms.

7. Electronic Signatures

Electronic signatures created through Scribeo are intended to be legally binding in jurisdictions that recognise electronic signatures, including under the Electronic Communications Act 2000 (UK), eIDAS (EU), and ESIGN Act (US). It is your responsibility to ensure that the use of electronic signatures complies with the applicable laws in your jurisdiction and for your specific use case. Scribeo does not provide legal advice.

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Scribeo. You retain ownership of all documents you upload. By uploading documents, you grant Scribeo a limited licence to store and process them solely for the purpose of delivering the Service.

9. Limitation of Liability

To the fullest extent permitted by law, Scribeo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service. Our total liability to you for any claim arising from these terms or the Service shall not exceed the amount you paid us in the three months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We disclaim all warranties to the fullest extent permitted by law.

11. Termination

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for conduct that we believe violates these Terms of Service or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will immediately cease.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
